Terms of Service

1. Introduction

Welcome to IATerm. This Agreement is a legal agreement between you ("User") and Infiniact Co., Ltd (a company incorporated under the laws of Hong Kong, hereinafter "We" or "Company") regarding the use of the IATerm software ("Software"). By downloading or using the Software, you agree to be bound by this Agreement.

2. License and Restrictions

We grant you a personal, non-exclusive, non-transferable license to use the Software on your devices. You agree NOT to:

  • Reverse engineer, decompile, or disassemble the Software;
  • Use the Software to build a competitive product or service;

3. AI Features and Disclaimer

  • Tool Only: IATerm acts solely as a terminal tool that accepts the utility of AI tools. We do not integrate any Artificial Intelligence models; all AI features and models are generated by the User's own AI tools.
  • Vendor Independence: Models and algorithms are provided by vendors selected by your AI tool and are unrelated to IATerm. We assume no liability for the accuracy, legality, or safety of any content generated by third-party AI tools.
  • Independent Judgment: You assume sole risk for relying on the Output provided by third-party AI tools and are obligated to independently review any code before application.
  • User Fees: Any API costs, quota consumption, or subscription fees charged by your AI provider for the use of AI features are solely your responsibility. IATerm does not process or forward such charges.
  • Compliance: You are responsible for complying with the terms of service and acceptable use policies of any AI provider you configure. Any consequences of violating a third-party provider's terms are solely your responsibility.

4. Fees and License

Update policy differs by distribution channel; refer to the section matching the version you purchased.

4.1 App Store Version

  • Perpetual License: A one-time In-App Purchase grants perpetual use.
  • Free Updates: After purchase you continue to receive all feature updates and bug fixes at no additional cost.
  • Multiple Devices: The license follows your Apple ID and can be activated on multiple Macs.
  • Refunds: Subject to Apple's refund policy.

4.2 Website Version

  • Sign-In: The Website Version uses your email address as your identity: sign in inside the app with an email one-time code or Google Sign-In. Purchasing, restoring a license on another machine and extending the trial require sign-in, and the license is tied to your email.
  • Free Trial: Clicking "Start free trial" on a device for the first time grants a full-featured trial with no sign-in (currently 7 days; the period shown in the app prevails), once per device. Signing in adds 30 more days on top, once per email address. The trial length shown in the app prevails.
  • Perpetual License: A one-time purchase via Stripe grants perpetual use of the software. You may install and upgrade to any new version at any time; bug fixes and security patches are never restricted.
  • Early-Bird Price: The first 100 perpetual licenses sold for each product are offered at an early-bird price (as shown on the checkout page when you order); the regular price applies once these are sold out. Early-bird licenses carry exactly the same rights as regular ones.
  • New-Feature Update Service (yearly): The perpetual license includes 12 months of new-feature update service. Features released during your service period are available to you; features released after the service period ends require a renewed service before they can be used, and the app clearly marks such features. Every feature you obtained during the service period remains yours permanently.
  • Renewal: A one-time in-app purchase extends the service by 12 months, counted from the current end date (or from the renewal date if it has already lapsed). The update service does not auto-renew; you must purchase it actively.
  • Devices: A license may be bound to at most 3 devices at the same time. You can deactivate the current device inside the app to free a seat; if a lost device cannot be deactivated, contact contact@infiniact.com from your purchase email and we will free the seat after verification.
  • Refunds: Subject to applicable law. To request a refund, contact contact@infiniact.com with your order number.

4.3 Common

  • Free Trial: A full-featured trial is available before purchase. The App Store Version trial is timed locally and needs no account; the Website Version trial starts without sign-in and can be extended by signing in (see 4.2).
  • Introductory Pricing: We may offer limited-time launch pricing at our discretion; the regular price applies afterward. Pricing is shown in the App Store or on our website at the time of purchase.

5. Intellectual Property and Data Ownership

All intellectual property rights in IATerm, including code and design, belong to Infiniact Co., Ltd. The code, scripts, and local configuration data you create through IATerm belong to you.

6. Acceptable Use

You agree to use IATerm only for lawful purposes and only to access computer systems that you own or have explicit authorization to access. You agree NOT to:

  • Access, probe, or scan any system without authorization;
  • Use IATerm to conduct unauthorized security testing or intrusion;
  • Use IATerm to distribute malware or facilitate any illegal activity;
  • Use the Terminal Assistant to generate content that violates applicable laws or third-party rights.

IATerm is a general-purpose SSH client. You are solely responsible for how you use it. Violations may result in termination of your license without refund.

7. Dispute Resolution

This Agreement shall be governed by the laws of the Hong Kong Special Administrative Region. Any dispute arising out of this Agreement shall be submitted to the Hong Kong International Arbitration Centre (HKIAC) for arbitration.
